These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and DirectVision, together with its affiliates, subsidiaries, and related entities, including DirectOD (collectively, “DirectVision,” “we,” “our,” or “us”), governing your access to and use of the website located at https://directvision.us, including all associated subdomains, patient portals, applications, and related services (collectively, the “Platform”).
By accessing, enrolling in, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as the DirectVision Privacy Policy and any additional policies referenced herein. If you do not agree to these Terms, you must not use the Platform.
DirectVision provides a technology platform that facilitates enrollment, billing, and administration of membership-based vision care programs offered by independent optometry practices (“Practices”).
DirectVision is not a healthcare provider, insurance company, or third-party administrator. DirectVision does not provide medical advice, diagnosis, treatment, or clinical services of any kind. Any healthcare services are provided solely by your selected Practice.
You acknowledge and agree that DirectVision does not control, supervise, or assume responsibility for any services provided by Practices, including but not limited to clinical care, treatment decisions, scheduling, or fulfillment of plan benefits.
Your membership plan, services, and benefits are offered by the Practice you select or enroll with. DirectVision acts solely as a technology and administrative facilitator.
All questions regarding care, services, treatment, scheduling, or plan benefits must be directed to your Practice. DirectVision is not responsible for the performance, availability, or quality of services provided by any Practice.
Any disputes regarding services, care, or benefits must be resolved directly between you and your Practice.
To use certain features of the Platform, you may be required to create an account and provide personal and billing information. You agree that all information provided is accurate, complete, and current, and you agree to update such information as necessary.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. DirectVision shall not be liable for any loss or damage resulting from unauthorized use of your account.
By enrolling in a membership plan, you authorize recurring charges in accordance with the pricing, terms, and billing schedule established by your selected Practice.
Membership plans are offered and controlled by the Practice, and DirectVision facilitates billing and payment processing on behalf of the Practice.
You acknowledge and agree that:
All billing disputes related to plan pricing, benefits, or value must be directed to your Practice.
Payments made through the Platform are processed by third-party payment processors. By providing your payment information, you authorize DirectVision and its payment processors to charge your payment method for all applicable fees, including recurring charges.
DirectVision does not store full payment card numbers or sensitive financial credentials. All payment data is subject to the policies and security practices of the applicable payment processor.
DirectVision disclaims any liability arising from the acts, omissions, or failures of such third-party processors.
Refund and cancellation policies are determined by your Practice and may vary. DirectVision does not control or guarantee refunds, credits, or adjustments unless otherwise required by law.
You may cancel your membership in accordance with the terms established by your Practice; however, cancellation does not automatically entitle you to a refund for prior charges unless explicitly stated by the Practice.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that is fraudulent, abusive, disruptive, or in violation of applicable law.
You further agree not to attempt to gain unauthorized access to any portion of the Platform, interfere with its operation, or misuse any features or services.
All content, software, design, and materials associated with the Platform are owned by or licensed to DirectVision and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purposes. You may not copy, reproduce, distribute, or create derivative works without prior written consent.
The Platform may rely on or integrate with third-party services, including payment processors, communication tools, and infrastructure providers.
DirectVision does not control and is not responsible for the performance, availability, or practices of such third-party services. Use of such services is at your own risk and subject to their respective terms.
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTVISION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DIRECTVISION DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
DIRECTVISION DOES NOT GUARANTEE THE AVAILABILITY, QUALITY, OR OUTCOME OF ANY SERVICES PROVIDED BY PRACTICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, DIRECTVISION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY SERVICES PROVIDED BY PRACTICES.
IN NO EVENT SHALL DIRECTVISION’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU THROUGH THE PLATFORM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless DirectVision and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising out of your use of the Platform, your violation of these Terms, or your interactions with any Practice.
DirectVision reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination, your right to use the Platform will immediately cease.
These Terms shall be governed by the laws of the State of Kentucky, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association. You agree to waive any right to participate in class actions or class-wide proceedings.
DirectVision reserves the right to modify these Terms at any time. Changes will be effective upon posting, and continued use of the Platform constitutes acceptance of the updated Terms.
